Ropes & Gray

Megan Baca (Silicon Valley) advises major life sciences, technology, branded products, retail, and financial services companies in strategic transactions where technology or intellectual property assets are key drivers. Kellie Combs (Washington, D.C.) provides legal and strategic advice to pharmaceutical, biotechnology and medical device manufacturers on a broad range of regulatory, enforcement and transactional matters. Ms. Combs has extensive experience handling matters implicating FDA promotional rules and the First Amendment and routinely advises clients on lifecycle management, regulation of clinical research, and post-approval compliance.

Andrew Devore (Boston) represents lenders, bondholders, private equity funds, portfolio companies, and creditors committees in bankruptcy- and insolvency-related litigation at both the trial and appellate levels. Mr. Devore also has experience representing debtors and creditors committees in chapter 11 cases and out-of-court restructurings, and advising purchasers in bankruptcy sale asset acquisitions.

Brett Friedman (New York) advises health care industry clients on a variety of complex transactional, enforcement and regulatory matters. Mr. Friedman has particular experience counseling both payers and providers in responding to the transition to value-based payment, as well as representing clients in the course of government investigations, audits and self-disclosures concerning potential violations of health care fraud and abuse laws.

Andrew Howard (London) handles a wide spectrum of complex UK tax issues, focusing on all types of transactions involving investment funds, including private equity, finance, securitization, special situations, real estate and fund formation. Mr. Howard also counsels clients on cross-border and international tax matters.

Vincent Ip (Hong Kong) represents institutional and other investors in connection with investments in private equity funds, hedge funds and separate accounts, as well as co-investment and secondary transactions.  Mr. Ip also has extensive experience advising fund sponsors on all aspects of their business, including the formation and ongoing representation of Asia-focused private investment funds.

Patricia Lynch (Boston) advises clients on a wide range of structured finance and fund financing transactions, including collateralized loan obligations (CLOs), whole business securitizations, receivables-backed variable funding note facilities, capital call facilities and credit fund leverage facilities. Ms. Lynch also works with corporate borrowers on large cap and middle-market financing transactions, including syndicated credit facilities, ABL facilities and high yield bond issuances.

• Stephanie Berdik (Boston) advises U.S. and non-U.S. private investment fund sponsors on all aspects of fund structuring and portfolio investment activities, including capital raising, fund regulatory and compliance matters and firm ownership and operational issues. She advises clients in the formation of buyout, credit, direct lending, and distressed funds as well as co-investment funds and separate accounts.

• Bradley Bobroff (New York) is a trial lawyer with experience in complex, high-stakes commercial and fiduciary litigation matters. He represents public and private companies and high-net-worth individuals in cases involving contract disputes, fraud, business torts, fiduciary duty claims, disputes among trust beneficiaries and trustees, IP disputes and professional negligence claims.

• Colin Cabral (Los Angeles) is a trial lawyer specializing in complex patent disputes. He has litigated matters involving a broad range of technologies, including electronics, computer software, and materials science. In life sciences, he enforces IP rights and develops freedom-to-operate strategies for leading biotechnology and pharmaceutical clients.

Ranere received his JD from Suffolk University Law School in 2008.

Chicago

Christopher R. Drewry is a member of the Corporate Department who represents large multinational corporations and private equity sponsors in negotiated and hostile public and private M&A transactions. He has substantial experience advising special committees of boards of directors in conflict of interest transactions and counseling boards and senior management on corporate governance and takeover defense matters, including shareholder activism. Drewry received his JD from Notre Dame Law School in 2007.

Jason Morelli is a member of the Corporate Department who focuses his practice on M&A transactions for private equity firms and public and private companies, as well as strategic investments, takeover defense matters and proxy contests. His experience spans a broad range of industries, including real estate and hospitality. Morelli received his JD from Notre Dame Law School in 2007.

Jonathan P. Dubai

Brian A. Meenagh is a member of the Corporate Department who focuses his practice on complex technology transactions, as well as projects and joint ventures, procurement and sourcing, data privacy, cybersecurity, emerging technology companies and FinTech. He has particular experience representing clients in the Gulf Cooperation Council (GCC) in negotiations with leading global and regional technology and software vendors. Meenagh received his BA in Jurisprudence from Oxford University in 1999 and his LPC from the College of Law, Birmingham in 2005.
Frankfurt

Alexander Lentz is a member of the Corporate Department. His practice focuses on the representation of investment banks, private equity firms and public and private companies in high yield bond offerings, as well as various finance matters. He completed the First German State Exam at the University of Trier in 2003 and the Second German State Exam in Mainz’s Higher Regional Court in 2007. He received his Dr. jur from the University of Trier in 2005.

Axel Schiemann is a member of the Finance Department whose practice is focused on advising financial institutions on regulatory matters. He has extensive experience advising clients in the context of FinTech innovations, M&A transactions in the financial industry, issuance of regulatory capital instruments, bank insolvencies, and restructurings, as well as regulatory proceedings and investigations. Schiemann completed the First German State Exam at the University of Bayreuth in 2006 and the Second German State Exam in Nuremberg-Fuerth’s Regional Court in 2008.

Hamburg

Nils Röver is a member of the Corporate Department whose practice focuses on M&A, private equity and distressed M&A transactions. He also advises clients in cross-border mergers and the law of the European company (SE). Röver completed the First German State Exam at the University of Hannover in 2004 and the Second German State Exam in Celle’s Higher Regional Court in 2006. London

Ekin E. Akar is a member of the Corporate Department whose practice focuses on representing investment banks, private equity firms and corporate issuers in cross-border public and private debt and equity offerings. She has particular experience in issuances of high yield debt securities and bridge lending in the context of acquisition financing transactions. Akar received her LLB from Galatasaray University in 2004 and her LLM from Harvard Law School in 2007.

Deborah J. Kirk is a member of the Corporate Department whose practice focuses on intellectual property and technology-related advice in connection with M&A and private equity transactions – representing a broad range of clients, principally in the consumer products, e-commerce, financial, media and pharmaceutical sectors.  She studied law at Durham University and received her LPC from Nottingham Trent University in 2004, and also earned a Diploma in Intellectual Property in 2008.

Los Angeles

John C. Heintz is a member of the Environment, Land & Resources Department. His practice focuses on infrastructure and project siting, environmental regulatory compliance and environmental litigation for energy, manufacturing and developer clients. He has particular experience in the areas of contaminated properties, air and water quality. Heintz received his JD from the University of Texas School of Law in 2008.

Jordan A. Miller is a member of the Corporate Department whose practice focuses on M&A transactions representing both publicly traded and privately held companies, as well as private equity funds and their portfolio companies, on public and private mergers, leveraged buyouts, acquisitions and dispositions, joint ventures and other strategic transactions, in addition to general corporate transactional matters. Miller received his JD from the New York University School of Law in 2007.

Winston P. Stromberg is a member of the Environment, Land & Resources Department. His practice focuses on obtaining and defending land use entitlements and environmental approvals for major real estate development, energy and infrastructure projects. He represents developers, corporations, land owners, institutions, nonprofits and utilities before local, state and federal agencies, and defends project approvals in court. He received his JD from Loyola Law School, Los Angeles in 2008.

New York

Paul L. Bonewitz is a member of the Finance Department who advises on a wide range of leveraged finance transactions, including secured and unsecured credit facilities, recapitalizations, bridge lending and committed financings.  His practice focuses particularly on cross-border transactions and acquisition financing, including leveraged buyouts and going private transactions. Bonewitz received his JD from the St. John’s University School of Law in 2008.

Alexandra Croswell Kelly is a member of the Corporate Department whose practice includes advising on a wide range of M&A transactions, joint ventures, controlling and minority investments, and other general corporate matters. She has extensive experience representing private equity firms, financial institutions and public and private companies across a variety of industries and has a particular focus on the financial services/asset management sector. She received her JD from the New York University School of Law in 2008.

Matthew C. Dewitz is a member of the Tax Department whose practice focuses on transactional tax matters relating to leveraged buyouts, tax-free reorganizations, other M&A transactions, joint ventures, restructurings, recapitalizations and debt and equity financings. He has experience representing private equity funds, investment banks, real estate investment trusts (REITs) and venture capital funds, as well as other public and private companies. David A. Hammerman is a member of the Finance Department who focuses his practice on financial restructurings and Chapter 11 reorganizations. Andrew R. Gray is a member of the Litigation & Trial Department whose practice focuses on securities litigation and professional liability. He represents public companies, directors and officers in securities class actions suits, shareholder derivative litigation, corporate control and merger disputes, SEC investigations and enforcement actions, and other complex litigation. Gray received his JD from the Washington University in St. Louis School of Law in 2007.

Daniel E. Rees is a member of the Corporate Department whose practice encompasses a broad spectrum of corporate matters, including M&A, capital markets and other strategic transactions, as well as takeover defense, securities law compliance and corporate governance. His clients include companies and investment banking firms in public and private transactions and various securities offerings, including initial public offerings. San Diego

Omar Nazif is a member of the Finance Department who focuses his practice on project finance transactions in the energy and gaming and hospitality industries. He represents financial institutions, sponsors and developers in connection with all phases of the development and financing of projects, with a particular focus on the renewable energy sector. Nazif received his JD from Stanford Law School in 2006.

San Francisco

Christopher Campbell is a member of the Litigation & Trial Department who handles complex litigation with a focus on antitrust and unfair competition. He has significant litigation and trial experience defending complex business disputes, consumer class actions and government investigations, and represents clients in competition-related regulatory proceedings and investigations around the globe, spanning multiple industries including technology, transportation and consumer products.  He received his JD from the University of California, Los Angeles School of Law in 2007.
Andy Gass is a member of the Litigation & Trial Department who practices primarily in the areas of antitrust law, copyright law and the intersection between the two. He represents technology companies and other clients from the earliest phases of product design, to licensing and commercialization, through litigation. Gass received his JD from the University of California, Berkeley School of Law in 2008.

Silicon Valley

Giri Pathmanaban is a member of the Litigation & Trial Department who primarily handles intellectual property litigation. His practice focuses on all phases of patent litigation actions pending before federal district courts and at the US International Trade Commission (ITC). He also has substantial experience at phases of post-grant proceedings at the Patent Trial and Appeal Board (PTAB), including arguing final hearings in Inter Partes Review proceedings. Pathmanaban received his JD from the Columbia University School of Law in 2007.

Washington, D.C.

Adam M. Greenfield is a member of the Litigation & Trial Department who represents clients in patent matters before federal district courts, the ITC, the US Court of Appeals for the Federal Circuit, and the PTAB. These matters most frequently involve electrical and computer technology, and they are often complicated further by antitrust, false advertising or other issues. Greenfield received his JD in 2007 from the University of Illinois.

Matthew T. Murchison is a member of the Corporate Department who handles regulatory, litigation and transactional matters in the communications sector. He has represented clients in policymaking and merger proceedings before the Federal Communications Commission, and in cases before the US Supreme Court, the US Courts of Appeal and the US District Courts concerning the First Amendment, communications law, administrative law, intellectual property and privacy. Murchison received his JD from Stanford Law School in 2008.

Stacey L. VanBelleghem is a member of the Environment, Land & Resources Department. She represents clients in a variety of industry sectors in major project infrastructure and development, administrative rulemaking and litigation under federal environmental law. VanBelleghem has particular experience in air quality and climate change matters and federal permitting and approvals. She received her JD from the American University, Washington College of Law in 2008.

Cleary Gottlieb

Nowell Bamberger, partner, focuses on cross-border dispute resolution, including litigation before U.S. and foreign courts and international investigations.  He is resident in the Washington office.  His assignments have included representation of financial institutions, investment professionals, and multinational firms in a wide range of disputes and regulatory investigations arising under U.S., foreign, and international law.  He has represented clients in litigation related to the collapse of the Bernie Madoff Ponzi scheme, including The Bank of New York Mellon in class action litigation and bankruptcy matters in federal and state court and additional clients in connection with the ongoing liquidation of Bernard L. Madoff Investment Securities LLC.  He has also represented HSBC in various U.S. and foreign investigations relating to interest rate benchmarks and the foreign exchange markets.  Other notable representations include HSBC in putative class actions alleging the manipulation of the market for U.S. Treasury securities and benchmark interest rates in Singapore and Australia, and Banc of America Securities in litigation relating to residential mortgage-backed securities.

Daniel Culley, partner, focuses on all aspects of U.S. antitrust law.  He is resident in the Washington office.  Dan represented Lafarge in its €40 billion merger of equals with Holcim, which created the world’s largest construction materials company; Italcementi and Italmobliare in their $4.1 billion acquisition by Heidelberg Cement; The Coca-Cola Company in its $2.15 billion acquisition of a 16.7 percent equity stake in Monster Beverage Corporation; and Samsonite in its $1.8 billion acquisition of Tumi.  He recently advised Open Text in its acquisition of Dell EMC’s Enterprise Content Division; Higher One in its proposed acquisition by an affiliate of Blackboard Inc.; Warburg Pincus and its portfolio company, Electronic Funds Source, in the sale of EFS to WEX Inc.; and Sterigenics in the acquisition of its largest supplier, Nordion.  Dan also represented DHL Global Forwarding in antitrust class action litigation involving the freight forwarding industry; and Sabre in monopolization litigation brought by American Airlines.

David Herrington, partner, works on a wide range of litigation, advisory, and regulatory matters, with a focus on intellectual property disputes.  He is resident in the New York office.  David has handled suits involving claims of patent infringement, trade secret misappropriation, trademark infringement, and breach of patent and know-how licenses; and he has advised on major IP transactions, including the sale of a multibillion-dollar patent portfolio and due diligence assessments of IP litigation exposure and structuring and licenses of IP assets.  His experience in other areas includes SEC and FINRA enforcement actions, internal investigations, and commercial litigation involving derivatives, debt instruments, and many other subjects.  David has recently represented United Test and Assembly Center Ltd. (UTAC) in several patent licensing disputes; Nortel in a trade secret misappropriation case; People’s United Bank in trademark infringement litigation; and Samsung in connection with the sale of its printer business to Hewlett Packard.  David also was a leader of the Cleary Gottlieb team that succeeded in overturning the death sentence and conviction of former Tennessee death row inmate Ndume Olatushani.

Jim Ho, partner, focuses on finance, restructuring, and capital markets work.  He is resident in the London office.  Jim has experience advising on a broad range of debt and equity capital markets products, bank lending, acquisition finance, debt restructurings and insolvency, financial regulations, and sovereign debt management.  Jim is advising a large CIS metals and mining company on its $5.7 billion debt financings; and he advised UC RUSAL in its $5.15 billion restructuring and the Truvo Group in its completed global restructuring.  He has extensive experience advising high-yield bond issuers such as Consolidated Minerals and RCS & RDS.  Jim’s sovereign work includes advising the Hellenic Republic on a number of complex transactions, including its €7.16 billion bridge loan from the EU under the European Financial Stabilisation Mechanism, and its €206 billion bond exchange that formed a key component of the country’s EU assistance package.  He has also advised on other sovereign debt management matters, including for Argentina, Nigeria, and the Dominican Republic.  Jim is the chair of the Cleary Gottlieb London LGBT Network.

Aaron Meyers, partner, focuses on mergers and acquisitions.  He is resident in the New York office.  Aaron is representing OpenText Corporation in its recently announced $1.62 billion acquisition of Dell EMC’s Enterprise Content Division.  He represented Family Dollar Stores in its acquisition by Dollar Tree for a combination of cash and stock worth $9.3 billion and the successful rejection of Dollar General’s hostile tender offer and Elliott Management’s threatened proxy contest; and Asahi Kasei in its acquisition of the energy storage business of Polypore International, a transaction valued at approximately $2.2 billion.  Aaron has also represented Google in several transactions; Warburg Pincus in its acquisitions of Electronic Funds Source and Wencor Group, among others; and TPG in its acquisition of Envision Pharmaceutical Services and subsequent $2 billion sale of Envision to Rite Aid.

Kenneth Reinker, partner, focuses on all aspects of U.S. antitrust law.  He is resident in the Washington office.  Ken’s merger control experience includes representing Western Digital in its $17 billion acquisition of SanDisk and its $4.8 billion acquisition of Hitachi’s hard drive business; Family Dollar in its $9.3 billion acquisition by Dollar Tree, and its rejection of Dollar General’s hostile tender offer on antitrust grounds; and IMS Health in its $17.6 billion merger with Quintiles and its prior acquisitions of Cegedim’s CRM and strategic data businesses and of SDI Health.  Ken’s litigation and investigation experience includes representing Sabre in lawsuits by American Airlines and US Airways challenging non-discrimination provisions in their agreements to distribute flights and fares through Sabre’s computerized reservation systems; ArcelorMittal in a class action alleging an industry-wide agreement to reduce steel output; and a global bank in global investigations into FX trading. Ken also has significant experience in pharmaceuticals, including representing Meda AB in its $9.9 billion acquisition by Mylan as well as a number of other clients in transactions, investigations, litigation, and patent settlements. Before joining Cleary Gottlieb, Ken was an antitrust economist.

Daniel Reynolds, partner, focuses on domestic and international real estate transactions.  He is resident in the New York office.  Dan regularly represents domestic and foreign clients, including investment banks, global asset managers, private equity, and sovereign funds.  He has represented clients in the negotiation of joint ventures to acquire, finance, and develop office, retail, hotel, multifamily, and mixed-use properties throughout the U.S. and in Europe; and he has advised both borrowers and lenders in mortgage and mezzanine financing transactions, including securitized and balance sheet loans, as well as construction financing.  Recently, Dan has represented several clients in complex real estate transactions, including an affiliate of a leading private equity fund as borrower in the mortgage and mezzanine refinancing of a trophy office complex in Chicago; a leading global asset manager as lender in the construction financing of a major residential condominium conversion in New York City; and a leading sovereign wealth fund in connection with its launch of a joint venture platform to acquire multifamily residential properties for conversion into furnished extended-stay apartments in the United States.

Kimberly Spoerri, partner, focuses on private and public mergers and acquisitions.  She is resident in the New York office.  Kim has played a key role on a variety of high-profile transactions in the technology and telecommunications sectors, including Warburg Pincus in its acquisition of Electronic Funds Source and the subsequent sale of EFS to WEX Inc.; Google in a variety of transactions, including its acquisitions of Waze and Motorola Mobility; American Tower in its $5 billion acquisition of over 11,000 wireless communications towers from Verizon; and Lenovo in its $2.3 billion acquisition of IBM’s x86 server business.  She also advised Allergan in its agreement to merge with Pfizer; OneWest Bank in its $3.4 billion sale to CIT Group; Genting Hong Kong as a shareholder of Norwegian Cruise Line in NCL’s $3 billion acquisition of Prestige Cruises International; GlaxoSmithKline in its unsolicited tender offer to acquire Human Genome Sciences and the resulting negotiated acquisition for $3.6 billion; and Pluspetrol Resources Corporation N.V. in its acquisition of Apco Oil and Gas International, Inc., and in its acquisition of substantially all of the assets of Harvest Natural Resources, Inc.

Heather Burke has been named a partner in our Global Antitrust Practice. Based in Silicon Valley, she focuses on complex commercial litigation and counseling in antitrust, intellectual property, class actions and trade regulation.

Michael Deyong has been named a partner in our Global Mergers & Acquisitions Practice.
