All members in good standing are invited to participate in the process described below to nominate and elect AREA officers for 2016. Please read this post and follow the instructions (deadline EXTENDED to COB March 10).

Open Positions

The President shall preside, if present, at all meetings of the Board. The President shall have authority to sign all documents of the Corporation, per the directives of the Bylaws or per actions of the Board. The President shall see that all orders and resolutions of the Board are carried into effect and shall from time to time report to the Board all matters within his or her knowledge which the interests of the Corporation may require to be brought to the Board’s notice. The President will also chair all meetings of the Executive Committee.

The Vice President for Customer Segment will represent the customer segment members in discussions and deliberations, in public events and writing. In the absence of the President or in the event of his her inability or refusal to act, the Vice President shall perform the duties of the President and, when so acting, shall have all the powers of and be subject to all the restrictions upon the President. A Vice President shall perform such other duties as may from time to time be assigned by the President or by the Board of Directors. The Vice President of Customer Segment will be a member and attend or send a delegate to all meetings of the Executive Committee.

The Vice President for Provider Segment will represent the provider segment members in discussions and deliberations, in public events and writing. In the absence of the President or in the event of his her inability or refusal to act, the Vice President shall perform the duties of the President and, when so acting, shall have all the powers of and be subject to all the restrictions upon the President. A Vice President shall perform such other duties as may from time to time be assigned by the President or by the Board of Directors. The Vice President of Customer Segment will be a member and attend or send a delegate to all meetings of the Executive Committee.

The Treasurer shall have the custody of the corporate funds and securities and shall supervise the full and accurate accounts of receipts and disbursements in books belonging to the Corporation and shall deposit all moneys and other valuable effects in the name and to the credit of the Corporation in such depositories as may be designated by the Board. To assist the Treasurer in their duties the organization contracts the services of a third party. The Treasurer will be a member and attend or send a delegate to all meetings of the Executive Committee.

The Secretary shall supervise the keeping of the principal office of the Corporation or at such other place as the Board may determine, a book of minutes of all meetings of the directors; prepare and deliver, or cause to be prepared and delivered, all notices given in accordance with the provisions of the Bylaws or as required by law; serve as the custodian of the records and of the Corporation; in general, perform all duties incident to the office of Secretary and such other duties as may be required by law, by the Certificate of Incorporation or by the Bylaws or which may be assigned to him or her from time to time by the Board. To assist the Secretary in their duties, as noted, the organization may contract the services of a third party. The Secretary will be a member and attend or send a delegate to all meetings of the Executive Committee.

Effective Date and Term

The effective date of the new officers is March 31, 2016 and the term of appointment for the position is one year. If any AREA officer cannot for any reason serve in the position for which he or she is elected, sponsor members will conduct a new election for the position vacated within 30 days of receipt of the officer’s written resignation, as it is written in the AREA by-laws section 6.

Eligibility

Employees of AREA Sponsor members are eligible to serve as AREA officers. Any member may nominate a sponsor member representative (or self nominate) to run for an office. Only provider segment members are eligible for the Vice President of provider segment and, similarly, only customer segment members are eligible to be nominated for the Vice President of customer segment.

Provider segment sponsor members: APX Labs, Atheer, Augmate, CN2 Technologies, contextere, DAQRI, Design Mill, DIOTA, iQagent, Six15 Technologies, Talent Swarm

If any new sponsor members join during the week of February 29, this list will be notified.

Before nominating a sponsor member for an officer position, you must obtain agreement from the nominee that he or she will serve if elected.

All eligible members are highly encouraged to consider taking an active role in the AREA as officers. These are important roles and the current officers all join me in encouraging those who have not served previously to consider engaging at this exciting level.

How to Nominate

All nominations for officer elections must be submitted via a simple e-mail message sent on or before COB March 10 to Amanda O’Brien at Virtual, Inc. Amanda@theAREA.org

The nomination must include the nominee’s name and the position for which the nominee seeks to be elected.

Get to Know the Candidates

On March 14, 17, 22 and 24, Christine and/or Amanda will conduct meetings to permit voting members of the AREA to get acquainted with the candidates.

We will issue calendar invitations by e-mail to the members mailing list. Members are also highly recommended to ask questions of officer candidates by e-mail as well. Phone meetings may be arranged separately with any candidates.

How to Vote

On March 11, Amanda will issue individual memos to all AREA member representatives with voting rights to vote by e-mail. Members will simply reply to Amanda’s memo on or before Noon Eastern Friday March 25. The ballots will be counted by Amanda.

Results

The results will be provided to the members via the [AREA Members] mailing list on Monday March 28, 2016.
