New Business Specials
California Incorporation Special – $799.00 (Includes attorney consultations for planning, review and advice, preparation of articles of incorporation and initial filings, preparation of bylaws, preparation of initial organizational minutes, attendance at initial organizational meeting, preparation of California statement of information, as well as name reservation fees, non-expedited filing fees, runner fees, and basic corporate kit)
Share Issuance – $499.00 (Includes drafting corporation action to authorize issuance (where needed), investment representations letter, subscription agreement)
Corporate Records/Recording Secretary – $350 per month (Each month includes attorney consultations for planning, review and advice regarding Board meeting agenda, telephonic/Skype attendance at monthly board meeting, advance drafting of non-complex corporate resolutions where needed (resolutions deemed non-complex so long as they are less than two pages), minute-taking and preparation of monthly minutes. Must be prepaid block of three months’ service (held and billed to attorney’s client trust account during the period). Does not include additional corporate actions taken outside of monthly board meeting, although during the coverage period, we will do our best to offer similarly discounted fees for any such work, as well.)
Shareholders/Buy-Sell Agreement – $999.00 (Includes attorney consultation for planning, review, and advice, preparation and drafting of Shareholders’ and Buy-Sell Agreement, and up to three rounds of drafting revisions.)
