Portal47 Ltd. (The Company), will grant you a personal, nonexclusive, nontransferable license to hyperlink (Link) your Internet Web site to Kyero.com, using the appropriate Kyero partner logo (Partner Logo) as part of your Internet Web site, subject to the following terms and conditions:
Entire Agreement
Your use of the Partner Logo and/or Link signifies your acceptance of all terms and conditions in this Agreement.
Breach of Agreement
Any breach of this agreement may, at The Company’s sole discretion, result in withdrawal of this licence, termination of your Kyero advertising subscription without refund or recourse and your exclusion from the Kyero web site.
No rights
This Agreement gives you no rights to any intellectual property of The Company, and in particular, no rights to represent The Company in any capacity.
No sponsorship
You may not use the name “Kyero”, the Link, and/or the Partner Logo in any manner that implies sponsorship or endorsement of your products, services, and/or Internet Web site by The Company.
Logo source
You may only use the Partner Logo and Link provided by The Company, applicable to your paid and current Kyero.com subscription level. No other logo, obtained from Kyero.com or any other source, may be used.
Logo appearance
You may not alter the appearance of the Partner Logo. The Partner Logo must stand by itself and must include a minimum amount of 20 pixels of empty space around it so as to avoid unintended associations with any other objects including, but not limited to, type, photography, borders, and edges. You may not use the Partner Logo as a feature or design element of any other logo.
Logo prominence
You may not display the name “Kyero”, the Link, and/or the Partner Logo more prominently than your company, product, Internet Web site name, or logo.
Goodwill
You may not use the name “Kyero”, the Link, or the Partner Logo to disparage The Company, and/or its services in any way that, in The Company’s sole business judgment and discretion, may diminish or damage the goodwill in The Company’s name or Partner Logo, including, but not limited to, uses that could be deemed obscene, pornographic, or excessively violent, or to encourage unlawful activities.
Right to change
The Company reserves the right to alter, modify, or discontinue the Kyero Web page and Kyero Partner Logo at any time, at its sole discretion.
No warranty
The Company makes no warranty, whether express or implied, and specifically disclaims any warranty of merchantability or fitness for purpose related to the Kyero Web page and/or services.
No liability
The Company shall not be liable or obligated in any manner for any damages or other losses of any type whatsoever incurred by you in connection with the subject matter of this Agreement, and you hereby agree to waive such claims that you may acquire against The Company.
Indemnity
You agree to defend, indemnify, and hold harmless The Company, its officers, directors, employers, agents, and any of its affiliates for any loss or damage (including legal fees) caused to The Company arising out of your use of the name “Kyero”, the Link, and/or the Partner Logo.
Right to review
The Company reserves the right to review your use of the name “Kyero”, the Link, and/or the Partner Logo, and you agree to provide The Company unrestricted access to your Web site to review your use of the name “Kyero”, the Link, and/or the Partner Logo.
Logo prominence
You may not display the name “Kyero”, the Link, and/or the Partner Logo more prominently than your company, product, Internet Web site name, or logo.
The Company may at any time, and in its sole business judgment and/or discretion, require you to discontinue your use of the name “Kyero”, the Link, and/or the Partner Logo.
