JOB DESCRIPTION Vice President of Tax, North America

Responsible for the entire North America (US and Canada) tax function, including all tax planning, structuring and implementation of transactions inbound and outbound, controversy work, tax accounting, tax returns, and transfer pricing. This function includes in close coordination with Global tax team and for Sanofi’ s all divisions (Pharma, Genzyme, Vaccine, Animal health, Consumer healthcare):

All NA tax compliance, preparation of the federal, state, local and foreign income tax documents by approving preparation of work papers, positions, schedules, returns, and IRS and Revenue Canada filings, including those for non-domestic subsidiaries. Management of tax audits in the US, tax litigations and tax procedures. Tax reporting for NA subsidiaries and all US tax controls pursuant to Section 404 of the Sarbanes-Oxley Act. Responsible for all domestic and international planning and strategy, including: lead U.S. tax attorney on all domestic third party transactions including dispositions, acquisitions, joint ventures, and licenses; creation and implementation of US domestic tax strategy concerning intercompany transactions; and review of R&D tax credit, Section199 manufacturing deduction, and intra-US transfer pricing. Design and implementation of international & domestic tax strategy concerning intercompany transactions, in strong collaboration with home office; and review of foreign tax credit utilization and strategies for simplification of US-owned companies.
Leader of 27 tax professionals, including:
24 In the US : 2 tax professional responsible for the transfer pricing function and documentation including vast interaction with the global tax department and global tax issues; 2 tax professionals who manage large case file federal audits; 16 tax professionals responsible for all aspects of the tax compliance and accounting functions (state, federal, and international) including the filing of numerous tax returns, preparing the quarterly tax provision and deferred tax analysis, as well as state tax audits; and 4 attorneys responsible for tax planning. 3 tax professionals in Canada

Tax liaison with legal department, treasury department, business development, human resources department, financial control group, accounting department, and business operations.
Updates on changes in tax law that impact US and/ or foreign operations and participation to tax lobbying. Qualifications: Basic Qualifications:

Juris Doctor Degree Minimum of 15 years of experience, including a mix of law firm or big 4 accounting firm and in-house tax experience, the latter preferably in the pharmaceutical industry
Strong technical skills, in both tax law and tax accounting
Experienced in the management of tax professionals Preferred Qualifications: Previous management of entire U.S. tax function strongly preferred
Experience in multi-state, federal and international tax environment, experience abroad a plus High ethical standards, integrity and confidentiality as well as adherence to U.S. tax laws, all legal ethical standards, and company policy. Must possess excellent interpersonal skills, interesting and open to work in an international environment, excellent written and oral communication skills, with the ability to explain complex tax issues in a clear and concise manner; French speaking a plus. Ability to create and contribute to a positive, dynamic, team-oriented work environment.
