This attorney will serve as counsel for the Operational Services business, which supports nearly all areas of Schwab, with an emphasis on the interface between brokerage operations and Schwab’s expansion of online and electronic methods to serve our clients. This attorney will also work on drafting and keeping current Schwab’s regulatory collateral, including client-facing forms and agreements, both paper-based and online, as well as providing advice on ACH and electronic money movement issues and on paperless consent and delivery issues. The depth of areas covered by Operation Services requires an experienced and hands-on attorney who is comfortable regularly working on diverse issues. This Legal Counsel Director will also be expected to assume other assigned tasks and projects in addition to his or her regular work schedule and to assist other attorneys on the team as circumstances may dictate. In addition to providing legal support to the Operational Services business, responsibilities may include providing advice on projects to expand the reach of Schwab’s electronic agreements with and document delivery to clients, ACH and other money-movement functions, advising the business on account statement and trade confirmation requirements, legal analysis of business policy exception requests with a focus on organization accounts and other complex clients; assisting the various business units in reviewing and writing client facing forms, applications and agreements; and providing risk mitigation advice to the business units.

What you have:

The ideal candidate must have a J.D. degree, bar admission and at least seven years of law firm, in-house counsel experience with a financial services company that includes broker-dealer and investment adviser matters, or experience working for industry regulator.

The ideal candidate will have an understanding of FINRA and SEC Rules; the Investment Advisers Act of 1940; the Securities Exchange Act of 1934; the E-Sign Act and with market regulation.

Prior experience working for a broker-dealer and working with or working for industry regulators would be a plus.

Excellent verbal and written briefing skills and the ability to advise the business on day-to-day issues in a fast-paced environment, with an eye on regulatory changes and risk management, are important skills for this position.
