POSITION SUMMARY

The General Counsel will act as advisor to the Chief Executive Officer, senior management, and business leaders of MaxPoint. The role will report to the CEO and will facilitate the Company’s business operations while managing holistic risk. S/he will provide day to day legal support across the enterprise, ensuring that the highest standards are maintained.

KEY RESPONSIBILITIES

The General Counsel will provide advice and leadership in a dynamic, growth-oriented environment on a wide range of issues. S/he will provide legal support for the Company, with a particular emphasis on intellectual property, securities/corporate governance, transactions and privacy. This role will work closely with Finance, Human Resources, and other functions within the Company. S/he will be the primary legal advisor to the Company and to the Board, as well as an active part of the senior management team. In addition, the General Counsel will support day-to-day functional operations to ensure that business is conducted to the highest standards possible.

Additional specific responsibilities include:

Provide counsel to the CEO and senior management regarding commercial matters and operations with the objective of facilitating business growth while managing risk.

Ensure that the function keeps pace with the rapidly changing needs of this high growth business. Constructively manage external vendor relationships to supplement internal staffing.

Interface with key people, including outside counsel to effectively manage legal issues.

Oversee contracts, intellectual property and patent matters; coordinate outside legal counsel resources when required.

Support HR from the employment law perspective.

Communicate effectively within the business, in a manner that engenders trust and confidence.

Draft, approve and implement policies and procedures in accordance with business needs of the company including Compliance matters.

During the first year, the General Counsel should have:

Successfully integrated himself or herself, as well as the Legal function, within MaxPoint, fostering a highly collaborative working environment.

Developed the Legal function to provide responsive and client-focused service.

Developed and implemented a process to review contracts.

Maintained the patent portfolio and pushed through numerous new patent filings.

Reviewed external IP environment and kept the Company up to date on how best to take advantage of opportunities and mitigate risks from threats.

Ensured compliance with SEC requirements.

PROFESSIONAL EXPERIENCE/QUALIFICATIONS

The successful General Counsel candidate is a well-respected attorney with experience in a technology-based company having a significant intellectual property component. S/he is experienced in advising on and managing legal aspects of operations. The candidate has a demonstrated record of providing business-savvy and strategic counsel with a focus on solutions. The General Counsel will be comfortable navigating an environment characterized by rapid growth and change, and will be comfortable calibrating appropriate risk and making decisions.

While confident and assertive in driving solutions for the Company, the selected candidate possesses excellent interpersonal and leadership skills, as well as technical expertise. S/he is an excellent communicator and presents well both in writing and in person, whether in an informal setting, a Board meeting or when interfacing with a large group. The candidate must be able to effectively communicate and interact with the full range of the Company’s clients. Specific experience should include mergers and acquisitions, depth in negotiating a variety of commercial contracts, corporate governance, litigation management, compliance, risk management, privacy and commercial transactions.

EDUCATION

The selected candidate will possess an undergraduate degree and a J.D. from well-respected, accredited institutions. S/he will be admitted to the Bar and in good standing in a jurisdiction of the United States.
