U.S. Bancorp’s Law Division is seeking candidates for a new full-time position as Corporate Counsel advising the Municipal Securities Group (“MSG”). The position is based in Charlotte, NC or New York, NY and reports to U.S. Bancorp’s Chief Counsel-Capital Markets.

MSG acts through U.S. Bancorp Investments, Inc., a registered broker-dealer, as well as its bank dealer, U.S. Bank Municipal Securities Group, a Division of U.S. Bank National Association (“U.S. Bank”). MSG underwrites, remarkets and sells investment municipal bonds to institutional investors and engages in over-the-counter secondary market trading of municipal bonds with institutional investor clients and other broker-dealers. In addition, U.S. Bank offers a variety of direct purchase/lending and credit enhancement products as well as interest rate swaps to tax-exempt entities.

The position includes review of and negotiation of public finance transaction and disclosure documentation, interpretation of securities laws and regulations and MSRB regulations, and advising bankers, underwriting, sales and trading, Compliance, personnel and others regarding related legal and regulatory risks. This position will also involve training of commercial and investment bankers and review of, and guidance regarding, changes to compliance manuals, and review of, and guidance regarding, legal and regulatory developments affecting the relevant business units.

Qualifications

Basic Qualifications

- Law degree

- Licensed by and in good standing with an appropriate state bar association or other appropriate state attorney licensing authority

- Seven or more years of experience at a law firm, bank or registered broker-dealer

-Prior experience with public finance offerings

Preferred Skills/Experience

-Prior experience with MSRB is a significant plus

-Prior experience at a bank or leading capital markets law firm is a plus

- Thorough and current knowledge of municipal securities laws and regulations

-Experience with bank credit facilities for tax-exempt entities

-Knowledge of broker-dealer laws and regulations

-Knowledge of bank regulatory laws and regulations

-Experience with interest rate swap transactions

-Confidence and efficiency in reviewing bond purchase agreements, remarketing agent agreements, and other transaction related documents

- Excellent analytical, decision-making and problem-solving skills

- Excellent verbal and written communication skills

- Advanced client management, diplomacy and people skills

-Ability to work in a fast-paced, team environment
