Position Summary:
This attorney will be a member of DTCC Legal’s contracts and transactions group, with the unique role of serving as the lead attorney for Clarient Global LLC, a joint venture among DTCC and several major financial institutions. Clarient operates the Clarient Entity Hub, which provides legal entity data and documentation management and validation services for the financial industry.DTCC provides Clarient’s legal services under the joint venture arrangement.The role is akin to service as an “outside” general counsel for Clarient, with access to the other resources of DTCC’s corporate legal department.
Principal Responsibilities:
·Operate independently as primary legal counsel to Clarient senior management and the Clarient Board.
·Provide legal support for all Clarient legal matters, including managing existing service agreements and negotiating new service agreements, consulting agreements, technology and IP licensing arrangements and other vendor contracts as the business grows.
·Support customer onboarding issues and negotiations as necessary.
·Identify, evaluate and advise Clarient senior management and board concerning any legal issues impacting the Clarient business.
·Provide legal support in evaluating and structuring new Clarient products or services, and new business opportunities for Clarient. Evaluate and manage data rights issues and IP issues.
·Provide legal support for any regulatory issues that arise as to Clarient products or services.
·Manage corporate governance matters and governance requirements under the joint venture agreement, including assisting Clarient senior management in preparation for meetings of the Board of Directors and its committees and attending meetings as necessary.
·Handle routine corporate matters such as employment issues.
·Engage other members of the DTCC legal department and outside counsel as necessary in support of all of the above.
Experience:
·Minimum 7-10 years active legal practice working on general corporate matters and complex business transactions.
·Experience at a top-rated full service law firm strongly preferred.
·Strong experience with drafting and negotiating complex business agreements.
·In-depth experience in contract and technology related law, with broad background in technology and IP licensing, purchasing and services agreements strongly preferred.

·Strong drafting and negotiation skills and must possess the ability to manage large numbers of projects simultaneously.
·In-depth experience in contract and intellectual property and patent related law, with broad transactional background in licensing, purchasing and services agreements
Education, Training &/or Certification:
JD and current U.S. bar admission.
