Director, Legal Counsel

This in-house counsel role is part of the Alliance Data Card Services’ Law Department, a collaborative and dynamic legal team providing strategic legal advice in support of credit, loyalty and marketing solutions.

Responsibilities

Advise business leaders and compliance department on legal and regulatory compliance, business, and industry risks arising from the company's varied consumer credit and consumer loyalty program offerings (from product development to underwriting to operations and servicing with a strong emphasis on operations support).

Liaise with in-house transactional attorneys and provide consultative advice as they negotiate complex agreements with business partners.

Interpret laws, rulings and regulations impacting the company and its stakeholders with primary focus on federal consumer lending and protection laws such as TILA / Reg Z, ECOA / Reg B, FCRA / Reg V, FDCPA, GLBA / Reg P, SCRA, UDAAP as well as state law counterparts.

Provide legal counsel on business and compliance policies and operating procedures, training materials and escalated complaints.

Review, analyze and track legislative and regulatory activities specific to the credit card industry.

Additional responsibilities could include assisting in regulatory liaison activities as well as portfolio acquisition and divestiture due diligence activities as well as providing Bank Secrecy Act / AML support.

Lead internal preparation and negotiation of complex credit card program and acquisition transactions; advise business leaders on legal, business, and industry risks in client transactions

Negotiate complex agreements with business partners, including software licenses, outsourcing arrangements, leases, consulting and professional services agreements, and other business agreements.

Interpret laws, rulings and regulations impacting the company and advise the business as appropriate.

Provide legal counsel on transactions, contracts, business operating procedures, training materials and escalated complaints.

Provide advice on legal and regulatory risks associated with product development and services; draft and negotiate company product agreements.

Review, analyze and track legislative and regulatory activities specific to credit card industry.

Additional responsibilities could include consumer and commercial credit card compliance, debt collection practices and consumer bankruptcy matters.
