Legal and Commercial Services professionals deliver and coordinate legal, contract and commercial advice and counsel in support of Accenture's or our clients' business, working to manage and mitigate risk and ensure ethical behavior and compliance with laws and company policies.

Job Summary:

Serve as the Legal lead for multiple complex M&A or strategic investment transactions within a fast-paced corporate environment. Advise senior company leadership on legal risks and mitigation alternatives associated with such transactions

Key Responsibilities:

Act as lead lawyer representing company’s interests in M&A and venture transactions.

Strategize with senior company executives regarding the negotiation of such transactions and lead the negotiation together with Corporate Development.

Manage both in-house and outside legal resources, including local/non-US counsel in cross-border transactions.

Independently manage drafting and review of transactional documents and correspondence.

Advise and coordinate with non-legal professionals supporting M&A and venture transactions (e.g. Corporate Development, Tax, HR, etc.)

Coordinate and manage the legal due diligence process.

Educate senior company executives in regard to legal and risk management issues.

Work with company tax and other advisors to structure transactions to be most advantageous from a legal and business perspective.

Stay abreast of business and legal developments in the M&A field affecting the company and the consulting, technology and outsourcing industry.

Advise, support and serve as QA resource for post-acquisition integration legal matters.

Handle post-closing matters including working capital true-up payments and disputes, earn-out disputes, indemnifications claims, etc.

Other lawyers (in role managing all legal activity within M&A or venture transactions)

May serve in the role of a career counselor and/or direct supervisor of Manager-level employee(s)

Basic Qualifications (Must-Have Skills/Experience):

JD and active bar membership

7 + years of corporate and commercial transactional experience, with primary focus on M&A in a role with increasing responsibility (i.e. lead M&A lawyer on deals with little to no oversight required). Such experience should include 6+ years at a medium-to-large sized law firm with a substantial corporate/M&A practice.

Work Requirements:

Some travel required at times (Less than 25%)

Preferred Qualifications:

Prior experience working in a fast-paced law firm or corporate M&A environment

In-house experience

Non-legal business experience that relates to M&A and corporate transactional work in a large public corporation
