Responsibilities:

This position reports to the Director, Legal Services and will support the Mobility Business Unit sales and/or product teams. Major duties and responsibilities include drafting, reviewing, editing, negotiating and finalizing a wide range of technology related agreements; and advising internal clients on various issues related to technology agreements, compliance with laws and company policies, intellectual property, other legal issues and risk.

Develop a thorough understanding of and familiarity with the company's business, its people, products, markets, customers and partners in order to identify trends and formulate effective strategies.

Advise and counsel the business team on the various legal issues and risks, business strategies, complex deal structures, approval processes, intellectual property and other issues related to technology transactions.

Draft, review, edit, negotiate and finalize a wide range of technology transactional legal documents with multiple elements of delivery, that meet the company’s requirements under its policies and for risk tolerance, while working collaboratively with the business team, including various executives.

Provide support for sales teams in the Mobility Business Unit; and act as department expert on a specialized product or legal issue.

Assist with integration of acquisitions.

Establish rapport and a working relationship with management at all levels to encourage and continue the proactive use of in-house legal counsel.

Work with Finance and other functional groups in the negotiation and approval of all types of technology transactions, including software licenses, consulting services, software as a service and partner end user and reseller agreements.

Assist with legal department projects as assigned, including efforts to develop, implement and enhance processes and forms that improve transaction velocity without material increases in risk.

Develop relevant training materials and presents to groups within and outside of the legal department.

Act as an escalation point for non-lawyer Contract Managers/Negotiators; and may train, coach or mentor them in their areas of expertise.

Qualifications:

Minimum of eight (8) years of relevant legal experience, including experience in a good commercial law firm and as in-house counsel to technology companies.

Strong critical thinking skills and ability to draw conclusions and make decisions using sound logic and reasoning.

Strong negotiation skills for the purpose of educating and persuading others, and negotiating contractual agreements.

Ability to quickly understand business needs and act to influence and persuade others in a manner that protects the company and aids in meeting/exceeding our revenue targets and maintaining a competitive edge.

Strong interpersonal and influencing skills.

Software and intellectual property licensing, SAAS and embedded technology transactional experience.

Experience in and familiarity with laws applicable for the transactions supported, including laws related to the protection of personal information.

Ability to clearly articulate and defend risk analysis.

Ability to examine critically business practices, ensure that they are aligned with requirements of law, and provide advice regarding business practice risk.

Sound knowledge of revenue recognition rules within the software industry.

Demonstrated ability to develop positive relationships and work cooperatively with Legal colleagues, business unit managers/employees, and external entities such as outside counsel, customers, vendors, suppliers or other business partners.

Confidence and credibility to work with senior-level corporate executives and attorneys as well as C-Level client executives.

Ability to effectively utilize paralegal, contract negotiator and contract administration staff.

Well organized with superior time/priority management skills, including the ability to handle a variety of projects simultaneously with minimal supervision, and the ability to prioritize to meet tight deadlines and adjust to workload fluctuations.

Ability to work in an atmosphere with a high degree of autonomy, latitude, and independence in their decision making.

A well-honed sense of judgment.Highly motivated self-starter, who excels in a fast-paced, time pressured and demanding environment.

BA or BS. JD from an accredited law school. Strong academic performance. Licensed to practice law in the United States, preferably Massachusetts or New York.
