General Description

Responsible for providing general corporate legal services to STA. This role will be responsible for marketing, employment and contract review to eliminate legal filings that can adversely impact the business. This role will interact with internal and external clients to act in the best interest of Samsung from a litigation perspective. Managing teams with focus on policy and strategy implementation and control rather than development; short-term operational/tactical responsibilities. Typically accountable for providing sufficient information for higher autonomy to make recommendations on budget and policies and for medium-term planning. Develop and supervise contract and legal support staff. Review and handle independently first-tier negotiations of complex commercial customer and vendor/service provider agreements. Prepare agreements for submission to customers, internal clients and service providers that include (but not limited to): Non-Disclosures, Service Agreements, Purchase Agreements, Sales Agreements, Contractor Services Agreements, Software and IP License Agreements, Consulting Agreements Direct interaction with internal clients, customer and service provider/vendor representatives Manage legal department risk management and litigation initiatives as requested by attorneys Support special projects as requested by attorneys Using the eContract tool, ensure appropriate legal review at all stages of document processing from initiation, through review/negotiation, Executive Summary and execution. Drafts, reviews, and negotiates customer and vendor sales and services contracts. Handles associated activities (promotion/ad/press release review) for Wireless Terminals Marketing. Provides employment law advice to HR group and performs HR-related legal tasks. Reviews legal data and advises organization on appropriate legal action to be taken. Has responsibility for the operational performance of the department. Directs the resolution of complex operational and organizational problems. Juris Doctorate degree with 12-15 years of directly related experience is required. Prior experience managing a legal support staff preferred. Prior experience in contracts management with negotiation arrangement required. Prior experience working with upper management required. Must have excellent written and verbal communication skills. Must have solid skills using Word/Outlook and have the capacity to learn/use proprietary eProcess tools (intermediate skill in Excel and PowerPoint considered a plus). Work is generally performed in an office environment. Operate a computer keyboard and view a video display terminal between 50% - 95% of work time, including prolonged periods of time. Requires considerable (90%+) work utilizing high visual acuity/detail, numeric/character distinction, and moderate hand/finger dexterity. The movement and transportation of equipment, most of the time is under 25 pounds. Performs work under time schedules and stress which are normally periodic or cyclical, including time sensitive deadlines, intellectual challenge, some language barriers, and project management deadlines. Machines, tools, equipment, and work aids include PC’s, printers, copiers, faxes, and other equipment commonly associated with an office work area. May require working additional hours beyond normal schedule. Travel varies depending on position. May include a budgetary responsibility and expense authority. Consistently demonstrates a commitment to policies and procedures, including but not limited to, attendance, confidentiality, conflict of interest, and ethical responsibilities.

Approach tasks and work assignments with a sense of urgency; handle high volume in a time-sensitive framework. Strong sense of urgency and internal customer focus. Work well under pressure and tight deadlines. Ability to negotiate on behalf of function to come to agreement by managing communications through discussions and compromise; issues are short-term operational and medium-term tactical or limited strategic nature.
