Job Summary

Engage in the general practice of corporate law, which may include one or more of the following: litigation management and oversight, corporate governance, assistance in corporate transactions, such as mergers, acquisitions, and joint ventures, and private equity transactions, and assistance with insurance regulatory matters. Responsibilities include one or more of the following handling mid-size corporate litigation; overseeing outside counsel in larger litigation; drafting and reviewing draft pleadings; and responding to discovery requests; drafting and negotiating transactional documents; reviewing, drafting and negotiating technology, vendor, real estate, marketing, agency and other insurance-related, and other commercial agreements; drafting and reviewing corporate governance policies and procedures; assistance with product development; and interaction with regulators. Provides legal advice, assistance, and counsel to the Company on a wide range of one or more of the following matters which may include, marketing, tax, advertising, branding, intellectual property, business development and corporate governance-related matters. Assist with Corporate Secretarial functions and provide advice on corporate governance issues. May participate in one or more of the following: creation and review of marketing and agency agreements; advertising and marketing materials; and assistance with developing internet and social media policies and review of social media and internet content; insurance product filings and the management of other insurance regulatory matters. Self-starter working under the direction of the Executive Vice President, General Counsel and Secretary of MAPFRE U.S.A. Corp. or Deputy General Counsel/Senior Transactional Counsel to accomplish short and long-term organizational objectives with an opportunity for a wide range of independent work based on demonstrated ability.

Job Requirements

Education: Masters Degree or equivalent, related experience.

Experience: 8 or more years - or Bachelor's Degree equivalent plus 10 or more years.

Knowledge: Advanced knowledge of practices within field. Integrates and evaluates new advancements in industry, concepts, techniques and standards to contribute to successful business results. Considered an expert in the field within the organization.

Decision Making: Makes novel and complex high-impact decisions interpreting company policy, for which there is no set procedure. Decisions influence success for projects of significant impact importance, client relationships, expenses and or ability to meet organizational objectives, both short- and long-term.

Supervision Received: Works under consultative direction towards long-range objectives. Assignments are often self-initiated.

Leadership: Plans, allocates the activities of project teams. Provides training and guidance to less experienced staff.

Problem Solving /Operations/Direct Work Involvement: Develops solutions to problems of unusual complexity and or impact which require a high degree of ingenuity, creativity and innovation. Challenges are frequently unique and solutions may set precedents for future decisions. Works on the most complex and high impact problems.

Client Contacts: Manages difficult complex situations and or high impact internal external relationships. Serves as consultant to management on high impact and complex projects and may also be an external spokesperson for the organization on significant matters pertaining to policies, plans, and objectives. Interaction frequently includes senior internal and external personnel often requiring complex coordination between organizations.

Juris Doctorate degree and membership in the Massachusetts Bar are required.

Four to six years experience preferably with large law firm or In-House equivalent.

Knowledge of insurance regulations is preferable, but not required.

Able to work independently while assisting the Executive Vice President General Counsel, Deputy General Counsel and/or Chief Regulatory Counsel on multiple projects.

Demonstrate strong written and oral communication skills.

Function well in a team environment.
