Attorney Position: Corporate & Commercial Transactions Generalist

The U.S. Legal Department of Abengoa Bioenergy is seeking a well-qualified attorney for a corporate and commercial transactions (generalist) position. Only candidates who meet all the requirements of the position will be given serious consideration.

Job Description; Experience

The attorney will report directly to the U.S. General Counsel, be responsible for working closely with business, finance, and plant managers, and support the overall operations of Bioenergy’s seven ethanol plants.

Primary responsibilities will include supporting Plant Operations, the Purchasing Department, the Insurance program and claims, Trading (product sales and feedstock procurement), the management of disputes and litigation, Collections, and Human Resources (employment counseling and claims), among other areas of the business.

A well-qualified attorney will have solid, demonstrable experience drafting and negotiating form general terms & conditions as well as one-off commercial contracts; equipment leases and equipment-finance loan documents; loan and security agreements; real estate documents (deeds, easements, ground leases, etc.); settlement agreements; non-disclosure agreements; and general corporate documents (resolutions, secretary and incumbency certificates, etc.).

A successful candidate will have broad transactional experience, at least three years of equivalent legal experience, a J.D. degree from an accredited law school, and be licensed and in good standing in at least one jurisdiction, preferably Missouri, Illinois, Indiana, Kansas, Nebraska, or New York.

Additional Qualifications: The successful attorney will be able to:

Render legal advice that promotes effective and efficient achievement of operational business goals while balancing risk and minimizing potential legal liability.

Regularly interface with and advise the General Counsel and executive management of potential risks in contractual, financial, and legal areas and propose risk mitigation strategies.

Help select and direct the work of outside counsel, defining project objectives and managing such projects.

Resolve routine and moderately complex legal matters with minimal supervision while proving to be reliable and adept in following through on assignments effectively and efficiently.

Proactively identify and communicate exposure and risk in a timely manner.

Take a leadership role in working collaboratively to achieve results and identify/resolve issues.

Provide in-depth, substantive analysis and quality reporting to the General Counsel and business managers in a timely manner.

Build and foster client relationships with a customer-centric focus.

Demonstrate exceptional legal research and writing skills.

Initiate special projects and identify other opportunities to support legal department goals/business needs.

Fully and effectively utilize available technology and automation.

Adhere to all standards of excellence in file organization and management.

Timely complete all required administrative tasks.

Strong writing and oral advocacy skills.

Travel, as required, to meet business needs.
