Charter Communications announced plans to purchase Time Warner Cable, as well as proceed with its acquisition of Bright House Networks. The agreements create a cable company, “New Charter,” that will serve 23.9 million customers in 41 states. Subject to regulatory approval, the deal will lead to “real benefits and great long-term value for the customers, shareholders and employees of all three companies, ” said Charter president and CEO Tom Rutledge. Offered Brian Roberts, chairman and CEO of Comcast, whose own pact with TWC ended when federal regulators indicated they would not approve the transaction, “This deal makes all the sense in the world. I would like to congratulate all the parties.”

The Charter/TWC announcement was “a not-surprising reaction to the rejection of the Comcast-TWC deal,” Howard Homonoff, president, Homonoff Media Group (whose clients have included Comcast, Time Warner Cable, Verizon, FOX Networks and 4A’s), tells Cynopsis.“What will be most interesting are the next shoes to drop, because they are definitely coming; they may include Cablevision, MediaCom, CableOne, Atlantic Broadband (now owned by Cogeco), as well as moves for more broadcaster consolidation and counters from Dish.”

That’s because consolidation right now is crucial, according to Thomas J. Connolly, global media & entertainment leader, transaction advisory services at EY. “The U.S. is not even in the top ten of countries globally when it comes to average bandwith speed,” Connolly tells Cynopsis. “Scale is critical to align investment with return, and the improved scale of a broadband providers with a larger national footprint is the right move at the right time.”

IN THE NEWS

Fox News has friends in surprising places in its copyright dispute with media monitoring company TVEyes, which lets its subscribers download and share clips of news shows. Fox News rivals CNN, NBCUniversal and CBS Studios were among the companies asking permission to file a “friend of the court” brief supporting Fox News’ motion for summary judgment motion against TV Eyes. A judge sided with TVEyes in September, saying that by indexing news articles, it “provides a service that no content provider provides.”

The Critics’ Choice Television Awards named the Most Exciting New Series, based on pilots, early episodes and trailers premiering after May 1. Honorees include FX’s American Crime Story, NBC’s Aquarius and Blind Spot, Fox’s Minority Report and Scream Queens, ABC’s The Muppets, CBS’s Supergirl and Lifetime’s Unreal. The CCTAs air live on A&E Sunday, May 31 at 8p, hosted by Cat Deeley (So You Think You Can Dance) and preceded by a red carpet show at 7p.

Discovery Family Channel is launching its own YouTube portal for Kids Kuts’ Classic Film Series, featuring families’ depictions of classic movie scenes (think toddlers fiddle-dee-deeing about Tara). “This is a great way to engage our audience – with kids and parents working together – to get them involved in Discovery Family fun,” said Tom Cosgrove, network GM.

Empire’s Taraji P. Henson and Terrence Howard are burning up Spike TV. Not only will they face off on the finale of Lip Sync Battle, they’re set to host the net’s Guys Choice Awards, taking place June 6 and airing Thursday, June 18 at 9p. “Gird your loins, boys, Cookie is coming to town,” warned exec producer Casey Patterson.

The NBCUniversal Foundation has partnered with the NBCUniversal Owned Television Stations for the launch of the fourth annual 21st Century Solutions competitive grant challenge. The program will award 30 grants totaling $1.2 million to local non-profit organizations that are embracing innovation to advance community-based programs in the areas of civic engagement, education, environment, jobs and economic empowerment, media arts and technology.

PRODUCTION & DEVELOPMENT

Loud TV (Tiny House Nation), part of Leftfield Entertainment, announced an exclusive partnership with UK-based Plum Pictures to co-create formats and original series for the U.S. market.

SallyAnn Salsano is leaving her perch as showrunner for daytime talker The Real to focus on her production company, 495 Productions, reports Deadline. Salsano will continue with the show as consultant.

COMING UP

Ryan Seacrest will fill his free time hosting Fox reality show Knock Knock Live, offering people a chance to make their fondest wishes come true. Series from Seacrest, Dick Clark Productions and XIX Entertainment premieres Tuesday, July 21 at 9p.

Nat Geo explores the horrors of World War II concentration camps in Anne Frank’s Holocaust, told through eyewitness testimony. The two-hour special includes an interview with a childhood friend of the diarist, who was reunited with Frank in the Bergen-Bergen camp. Show premieres Sunday, June 21 at 9p.

The Jim Gaffigan Show and Impastor debut on TV Land Wednesday, July 15 at 10p and 10:30p, respectively. “Younger has been a huge step in TV Land’s reinvention as a network exploring riskier and more challenging content,” said Keith Cox, EVP of development and original programming. “We are adding to our line-up of contemporary comedies.” The Exes returns the same night, at 11p.

Yankee hero Derek Jeter will be honored with the Legend Award at Nickelodeon’s Kids’ Choice Sports Awards on Thursday, July 16 at 8p. “Inspiring kids to follow their dreams and live a healthy lifestyle is so important to me,” said the Captain.

Season two of GSN’s Skin Wars launches Wednesday, June 10 at 9p. Winner of the body paining competition takes home a $100,000 cash prize, a trip to the World Body Painting Festival in Austria and a custom brush collection.

Patti LaBelle will tour Philly on Ovation travel series On the Record with Mick Rock, premiering Sunday, August 2; the “Lady Marmalade” singer’s segment airs August 23.

CNBC follows high-octane adventures in The New High: Extreme Sports, premiering Thursday, June 18 at 10p. Correspondent Carl Quintanilla delves into the worlds of wingsuit jumpers, kiteboarders and obstacle course racers.

BRANDS AND ADVERTISING

Are Howard Stern and Heidi Klum looking extra-caffeinated? Dunkin’ Donuts has signed on as a sponsor of NBC’s American’s Got Talent with a deal that includes placement in every episode, from judges’ coffee cups to a branded lounge, social media effort and behind the scenes segments. Season 10 of the summer competition launched last night.

General Mills was the first to pull its ads from TLC reality show 19 Kids and Counting in the wake of oldest son Josh Duggar’s admission that he molested five girls 12 years ago. Payless Shoes and Choice Hotels followed suit on Tuesday, followed by Walgreens. TLC, which yanked episodes from the air after the news broke, said, “We are deeply saddened and troubled by this heartbreaking situation, and our thoughts and prayers are with the family and victims at this difficult time.”

CASTING

Max Greenfield (New Girl) is joining FX’s American Horror Story: Hotel, premiering in October. But his stay might not be long. “Max Greenfield (like you’ve never seen him) is checking into the hotel…but not checking out,” tweeted producer Ryan Murphy.

Michael Gambon (The Singing Detective) stars as Sir Winston Churchill and Lindsay Duncan (Private Lives) as Clementime Churchill in Churchill’s Secret, an ITV and PBS project about controversy during the U.K. prime minister’s post-war years. Filming begins in June in London. Two-hour movie will air on PBS in 2016, after its ITV run.

Charlene McKenna (Ripper Street) has hopped aboard Lifetime prehistoric pilot The Clan of the Cave Bear, starring Millie Brady and Johnny Ward.

Dylan Bruce (Orphan Black) landed a recurring role on NBC’s upcoming event series Heroes Reborn.
