1. HOW TO ENTER
a. These rules govern the WENDY’S® “Sacks for Cash” promotion (the “Promotion”) being conducted by 94WIP (the “Station”) beginning on Monday, August 26, 2013 at 12:00 a.m. Eastern Time (“ET”) and ending on Sunday, December 29, 2013 at approximately 4:00 p.m. ET (“Promotion Period”). The “Sacks for Cash” Contest will occur during all sixteen (16) 2013 Regular Season games played by the Philadelphia professional football team (“Game Dates”).

b. To participate in the Promotion, you may log onto CBSPhilly.com/Contests and follow the links and instructions to enter during the Promotion Period. Click on the WENDY’S® “Sacks for Cash” entry button to connect to the contest registration page. Submit your first name and last name, complete address, city, state, zip code, telephone number, date of birth and a valid email address in the online entry form. Online entrants are subject to all notices posted online including but not limited to the Station’s Privacy Policy. (Federal regulations prevent use of an email address that is potentially a wireless device. Please make sure that the email address you enter is not associated with a wireless account.)
c. After having read and agreed to the Official Rules, click the submit button to submit your online registration. All entries must be fully complete with all required registration information to be deemed eligible. Any entry submitted with an invalid email address will be disqualified.
d. Any available opt-in opportunities are not required to enter the Promotion, and checking the opt-in boxes will not improve your chances of winning. By participating and submitting an entry, participant agrees that Sponsor and participating parties are authorized to contact entrant via email or mail to make entrant aware of information pertinent to the contest, and to distribute information regarding the Sponsor(s) upcoming contests, promotions, special events or offers, or other sales or discount offers.
e. Each participant must register and participate on his/her own behalf. Any registration submitted on behalf of another individual or using another person’s email address or name will be disqualified and become ineligible to claim any prize. Internet entries will be deemed made by the authorized account holder of the email address submitted at the time of entry. The authorized account holder is the natural person who is assigned to the email address by an internet access provider, online service provider or other organization that is responsible for assigning an email address or the domain associated with the submitted email address. Multiple participants are not permitted to share the same email address. Entries submitted will not be acknowledged or returned. Use of any device to automate entry is prohibited. Proof of submission of an entry shall not be deemed proof of receipt by the Station. The Station is not responsible for entries not received due to difficulty accessing the internet, service outage or delays, computer difficulties and other technological problems.
f. There will be sixteen (16) entry periods (“Entry Period”) during the Promotion Period. The dates and times for each Entry Period are as follows:

All online entries must be received during the above deadline dates to be eligible for that Entry Period’s random drawing. All entries will be automatically eligible for all future Entry Period drawings throughout the Promotion Period, unless the entry results in a Weekly Entrant Prize or Grand Prize, in which case the entry will be removed from the pool of eligible entries for the next Entry Period drawing. You do not need to resubmit your entry to be eligible for the next Entry Period’s drawing.
g. Only one (1) online entry per person per valid email address is permitted.
2. ELIGIBILITY RESTRICTIONS
a. The Promotion is open to all persons who are 18 years of age or older and who reside in the Philadelphia Metropolitan Area which is defined as: Pennsylvania (Bucks, Chester, Delaware, Montgomery, and Philadelphia Counties); New Jersey (Burlington, Camden, and Gloucester Counties) or Delaware (New Castle, Kent and Sussex Counties,). Void where prohibited or restricted by law. Employees, officers, directors, and agents of Wendy’s International, Inc., Million Dollar Media, the Station, the Station’s licensee (collectively, “Promotion Entities”), their respective parent, subsidiary, and affiliated entities, Station’s advertising and promotional agencies and participating sponsors, other radio stations in the Philadelphia metropolitan area, the members of their immediate families (spouse, parents, siblings or children) and those living in the same household of each (whether related or not), are ineligible to enter or win. This Promotion is subject to all applicable federal, state, and local laws and regulations. By participating, entrant agrees to comply with these Official Rules and the decisions of the Station, which are final and binding in all respects.
b. Persons are eligible to win a prize in a Promotion only once every six (6) months if the prize is valued over $600. Only one (1) winner per household is permitted in any promotion conducted by the Station.
c. Each winner must provide valid government-issued photo identification and provide their complete address, date of birth and phone number to claim a prize.
d. Entrants are required to provide truthful information and the Station will reject and delete any entry that it discovers to be false or fraudulent. The Station will disqualify any entrant who does not meet the eligibility requirements and will also delete any entry as required by law.
3. PRIZES
a. A maximum of twenty (20) weekly entrant prizes (a “Weekly Entrant Prize”) may be awarded during each Game Date. Each Weekly Entrant Prize will be awarded if the professional Philadelphia football team records a sack during any quarter of play during each Game Date as set forth above in Section 1A. If a penalty occurs during a down that involves a sack and that down is repeated, only the repeated down will be eligible. For the purposes of the Official Rules, a successful sack must be counted as an official play, ruled as an official “sack” by the league, and recorded in the official league stats. If the professional Philadelphia Football Team does NOT record any sack, or if any sack is nullified by a penalty or a play that is not ruled as an official “sack” by the league then such sack will not be considered, and no Weekly Entrant Prize will be awarded that week. The Weekly Entrant Prize consists of the following: $100 in the form of a CBS Corporate check made payable to the winner. The Approximate Retail Value (“ARV”) of each Weekly Entrant Prize is $100. Each Weekly Entrant Prize winner will be solely responsible for all taxes and all other fees and expenses not specified herein associated with the receipt and use of the Weekly Entrant Prize. The Weekly Entrant Prize is awarded as is. The check will be subject to the terms and conditions as set forth by the issuer. Check will not be awarded until all necessary tax forms are completed, signed all required releases, and presented all required documentation. Check will be mailed to the winner’s address provided on the W-9 form filled out by the winner. In the event that the W-9 address is invalid, the secondary source of mailing address will be used (the address listed on the winner’s valid photo ID). The check will be issued within approximately 8-14 weeks to be processed from the date of winning and may take longer. The Station is not responsible for the safe arrival of a prize or prize certificate.
b. A maximum of sixteen (16) grand prizes (“Grand Prize”) may be awarded during the Promotion Period. A Grand Prize will be awarded if the professional Philadelphia football team records a minimum of four (4) sacks during the first quarter of play during a Game Date as set forth above in Section 1A. If a penalty occurs during a down that involves a sack and that down is repeated, only the repeated down will be eligible. For the purposes of the Official Rules, a successful sack must be counted as an official play, ruled as an official “sack” by the league, and recorded in the official league stats. If the professional Philadelphia Football Team does NOT record a minimum of four (4) sacks, or if any sack nullified by a penalty or a play is not ruled as an official “sack” by the league then that sack will not be considered, and no Grand Prize will be awarded that week. ARV of each Grand Prize is $5,000 payable by check to the Grand Prize Winner. A maximum of one (1) Grand Prize may be awarded per Game Date based upon an eligible Grand Prize winning occurrence as outlined in these Official Rules. If the Grand Prize winning requirements do not occur during the first quarter of a designated Game Date, then a Grand Prize will not be awarded on that Game Date.
c. The Grand Prize is $5,000 in the form of a Million Dollar Media check made payable to the winner. Grand Prize winner(s) will be solely responsible for all taxes and all other fees and expenses not specified herein associated with the receipt and use of the Grand Prize. The Grand Prize is awarded as is. The check will be subject to the terms and conditions as set forth by the issuer. Check will not be awarded until all necessary tax forms are completed, signed all required releases, and presented all required documentation. Check will be mailed to the winner’s address provided on the W-9 form filled out by the winner. In the event that the W-9 address is invalid, the secondary source of mailing address will be used (the address listed on the winner’s valid photo ID). The check will be issued within approximately 8-14 weeks to be processed from the date of winning and may take longer. The Promotional Partner is not responsible for the safe arrival of a Grand Prize or Grand Prize certificate.
d. All other costs and expenses related to prize acceptance and use not specified herein as being provided are the sole responsibility of the Weekly Entrant Prize winner(s) and/or Grand Prize Winner(s).
e. Weekly Entrant Prize(s) and Grand Prize(s) will be awarded upon confirmation of eligibility and completion of all requisite releases. No more than the stated number of prizes specified in these Official Rules will be awarded. Weekly Entrant Prize(s) and Grand Prize(s) will be mailed to winner(s). The Station and/ Promotional Partner are not responsible for the safe arrival of a prize or prize certificate.
f. The Prizes are not transferable, and no substitution, assignment, or cash equivalent of prize is permitted, except by the Station and/or Sponsor (solely at their discretion), which reserve the right to substitute a prize or prize portion with another prize or prize portion of greater or equal value. The Prizes are expressly limited to the item(s) listed above and unless otherwise expressly specified, do not include taxes, gratuities or any other expenses. Promotion Entities are not responsible for winners’ limitations that prevent acceptance or use of prize(s). Entrants acknowledge that the Promotion Entities have not made, nor are in any manner responsible or liable for, any warranties, representations or guarantees, and hereby disclaim any and all warranties expressed or implied, in fact or in law, whether now or hereafter enacted concerning any prize, including without limitation, implied warranties of quality, merchantability, mechanical condition, or fitness for a particular purpose, except for any express manufacturer’s warranty as may be included with the prize or as may be separately provided to participants by law. Other restrictions may apply.
4. WINNER SELECTION AND NOTIFICATION
a. Decisions of the Station management with respect to the Promotion are final.
b. Approximately twenty four (24) hours after the end of each Entry Period listed above in Section 1F, twenty (20) Weekly Entrants will be selected by random drawing from all eligible entries received during that Entry Period (and prior Entry Periods if applicable). Each Weekly Entrant will be assigned a number in the order that they were randomly picked.
c. During each Game Date, every time the Philadelphia professional football team records an official sack, a Weekly Entrant’s name will be announced on-air and they will be deemed a Weekly Entrant Prize winner (i.e., for the first sack of the game, Weekly Entrant #1’s name will be announced as the winner, for the second sack of the game, Weekly Entrant #2’s name will be announced as the winner, etc.). Weekly Entrant Prize winner(s) do not have to be listening to win. Weekly Entrant Prize winner(s) will be notified by telephone or email within twenty-four (24) hours after each drawing period. If not selected as a Weekly Entrant Prize winner or Grand Prize winner in one of the Entry Period’s listed above in Section 1F, non-winning names will go back into the prize pool for subsequent drawing periods and will be randomly drawn with prior drawings, if applicable.
d. If the Philadelphia professional football team records a minimum of four (4) sacks during the first quarter of a designated Game Date as set forth in Section 3B above, the selected fourth Weekly Entrant of that designated Game Date will be awarded the $100 Prize and the $5000 Grand Prize. A maximum of sixteen (16) Potential Grand Prize Winners may be selected during the Promotion in sixteen (16) separate drawings, as follows:

*The November 17th and December 1st, 8th, 15th, 22nd and 29th games are subject to flexible scheduling, meaning the game times could change to 4:05 pm ET or 8:30 pm ET.
e. Odds of winning a Weekly Entrant Prize depends on the number of eligible online entries received up to the time of each drawing.
f. Weekly Entrant Prize Winner(s) and Grand Prize winner(s) need not listen to the Station nor be present to win.
g. Any selected Weekly Entrant Prize Winner who does not meet the eligibility requirements will be disqualified. An alternate Weekly Entrant Prize Winner will not be selected.
h. In the event ALL of the required Grand Prize winning elements set forth in these Official Rules are not met or if the Grand Prize Winner does not met the eligibility requirements, then the Grand Prize WILL NOT be awarded for that Game Date.
Grand Prize winning will be based only on the first quarter of play during each Game Date. If the Philadelphia professional football team does not record a minimum of four (4) sacks during the first quarter of play of a designated game, there will be no Grand Prize awarded for that game. If a penalty occurs during a down that involves a sack and that down is repeated, only the repeated down will be eligible for prize reimbursement. For the purpose of this Promotion, a successful sack must be counted as an official play, ruled an official “sack” by the league, and recorded in the official league stats. Any sack nullified by a penalty or a play that is not ruled as an official “sack” by the league will not be considered for prize reimbursement.
i. Weekly Entrant Prize winner(s) must execute and return any required affidavit of eligibility and/or liability/publicity release within thirty (30) days of notification of becoming the Weekly Entrant Prize winner or the Weekly Entrant Prize will be forfeited and an alternate potential Weekly Entrant Prize winner will not be selected. If a potential Weekly Entrant Prize winner cannot be contacted within thirty (30) days of notification of winning, fails to sign and return the required affidavit of eligibility and/or liability/publicity release within the required time period, or if a prize or prize notification is returned as undeliverable, the potential winner forfeits the Weekly Entrant Prize and if selected as the fourth Weekly Entrant Prize winner the fourth Weekly Entrant Prize winner will forfeit the “Sacks for Cash” $5,000 Grand Prize.
j. Grand Prize winner(s) must execute and return any required affidavit of eligibility and/or liability/publicity release within five (5) days of notification of becoming the Grand Prize winner or Grand Prize will be forfeited for that Game Date and an alternate potential Grand Prize winner will not be selected.
5. CONDITIONS
a. Payments of all federal, state and local taxes are solely the responsibility of the winner. The winner may be required to complete and submit an IRS Form W-9 with the winner’s full Social Security Number or the equivalent for receipt of any prize and will be required to complete and submit an IRS Form W-9 with the winner’s full Social Security Number or the equivalent for receipt of any prize valued at $600 or more or for any prizes awarded by the Station (or any other CBS Radio station in Station’s market) in a calendar year with an aggregate value of $600 or more. Failure to submit a complete W-9 or equivalent will result in forfeiture of the prize. Such winnings of $600 or more will be reported to the IRS.
b. Participation in the Promotion and/or acceptance of prize constitutes entrant’s and/or winner’s (and guest’s, if applicable) permission for the Station or its agents to interview the winner(s) (or guest(s), if applicable), to photograph, film, and record each winner (or guest, if applicable), and to use in commerce and in any media now or hereafter known throughout the world in perpetuity, his/her name, prize won, hometown (city and state), biographic information, likeness, photograph, voice, audio or video recording, and/or any statements made by him/her regarding the Station, the Promotion, and/or its sponsor(s) for purposes of trade, publicity, or promotion without notice or additional compensation, notification, or permission, in perpetuity except where prohibited by law. Each winner (and guest, if applicable) agrees to sign a publicity release confirming such consent prior to acceptance of the prize, except where prohibited by law.
c. Participation in the Promotion and/or acceptance of prize constitutes entrant’s and/or winner’s (and guest’s, if applicable) agreement to release, discharge, and hold harmless the Promotion’s sponsor(s), the Station, its licensee, their respective parent, subsidiary and affiliated entities, their advertising and promotional agencies, prize suppliers, and participating sponsors, and their respective officers, shareholders, directors, employees, agents and representatives and all of their successors and assigns (collectively, “Released Parties”) from and against any and all claims or liability arising directly or indirectly from the prize and participation in the Promotion, including, but not limited to, personal injury, death, or damage to or loss of property, which may occur in connection with, preparation for, travel to, or participation in Promotion, or delivery, possession, acceptance and/or use or misuse of prize or participation in any Promotion-related activity, including but not limited to any claims based on publicity rights, defamation, or invasion of privacy and merchandise delivery.
d. If for any reason this Promotion cannot be executed as planned, including but not limited to, as a result of infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Released Parties that corrupt or affect the security, administration, fairness, integrity or proper conduct of the Promotion, or if the Promotion is compromised or becomes technically corrupted in any way, electronically or otherwise, the Station reserves the right to cancel, terminate, suspend, and/or modify the Promotion. If the Promotion is terminated before the original end date, the Station reserves the right, in its sole discretion to, to modify the procedure for selecting winners, unless the nature of the event giving rise to such termination renders it impossible to select winner(s).
e. The Released Parties are not responsible for (i) typographical or other errors in the printing, the offering, or the administration of the Promotion or in the announcement of a prize; (ii) incorrect or inaccurate entry information, human error, failure, or omission; (iii) unauthorized human intervention; (iv) lost, stolen, mangled, misdirected, postage due, illegible, incomplete, or late entries; (v) entries not received due to difficulty accessing the internet, service outage or delays, computer difficulties and other technological problems or for telephone service outages, delays, busy signals, poor signals or signal interference, accidental disconnection, equipment malfunctions, and any other technological failures of any kind; or (vi) any cancellations, delays, diversions, or substitutions or omissions whatsoever by any transportation providers or any other persons or entities providing any services to winner(s) (and guest(s), if applicable) including any results thereof such as changes in services or location necessitated by same. Further, the Released Parties are not responsible if any part of a Promotion prize that cannot be awarded due to acts of God, acts of war, natural disasters, weather, acts of terrorism, or other factors beyond the Released Parties’ control.
f. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods may void that entrant’s entries and that entrant may be disqualified. The use of any device to automate entry is prohibited. Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents (including, but not limited to, promotion entry services or proxies) will void all entries by that entrant at the Station’s discretion. The Promotion administrator’s computer or telephone system is the official time keeping device for this Promotion. In the event of a dispute, online entries will be deemed to have been submitted by the Authorized Account Holder of the email address submitted at the time of entry. “Authorized Account Holder” means the natural person who is assigned to an email address by an internet access provider, online service provider, or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. For phone or mobile entries, the authorized account holder is the natural person who is assigned to the text or mobile telephone number by a telecommunications provider, or other organization that is responsible for assigning such numbers. The Station, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of the Station’s website. Failure to comply with the rules of the Promotion may result in an entrant’s disqualification and/or forfeiture of any prize or prizes. If the Station makes a good faith determination that an entrant has cheated or committed fraudulent activity in connection with a Promotion, the Station reserves the right to disqualify that entrant from entering and/or winning this and future Station-administered Promotions and to prosecute and seek damages to the fullest extent permitted by law.
g. The Station reserves the right to make changes in the rules of the Promotion, including, without limitation, the substitution of a prize of equivalent value, which will become effective upon announcement. If due to circumstances beyond the control of the Promotion Entities, any competition or prize-related event or travel is delayed, rescheduled, postponed or cancelled, the Station reserves the right, but not the obligation, to cancel, terminate, suspend, or modify the Promotion and shall not be required to award a substitute prize.
h. Except where prohibited, by entering the Promotion, each entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in New York, NY, (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event shall such costs include attorneys’ fees; and (3) no punitive, incidental, special, consequential or other damages, including, without limitation, lost profits may be awarded (collectively, “Special Damages”), and (4) entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. New York law governs the interpretation and construction of these Official Rules and all aspects related thereto.
i. For a copy of these Official Rules, send a self-addressed stamped envelope for receipt by December 29, 2013 to “Sacks for Cash – Official Rules,” Attn: CBS Sports Marketing, 400 Market St, 9th Floor, Philadelphia, PA 19106. For the names of the prize winners send a self-addressed stamped envelope for receipt by January 29, 2014 to the above address marked “Sacks for Cash – Winner List.” The Official Rules and the Winner List (when completed) shall also be available during regular business hours at the main offices of the Station and may be posted online at http://philadelphia.cbslocal.com
6. PRIVACY
a. By participating in the Promotion, you agree to the Station’s Terms of Use Agreement and to the use of your personal information as described in the Privacy Policy located at http://policies.cbslocal.com/privacy/current.html. In the event of conflict between the Station’s Terms of Use Agreement and these Official Rules, the terms of these Official Rules shall apply.
